1code x Ltd — Terms of Service

1. Services

We are developing and operating a family of products under the "1code" brand, including but not limited to:

• 1code Studio — our flagship desktop application: an AI-agent-powered visual canvas for sketching, wiring, and running AI workflows, bringing models, data, and tools together to build and edit websites, applications, and other digital products without writing a single line of code
• 1code ID — our mobile authentication and identity application for managing access to 1code services
• 1code Books — our AI-native accounting platform for UK small businesses: invoicing and quotations, customer management, expenses and receipts, and bank reconciliation, with year-end accounts and Corporation Tax preparation in active development
• Associated companion applications and supporting web services

Some services are in active development. Features, pricing, and availability may change as products evolve toward general availability.

2. Eligibility

You must be at least 16 years old (or the age of legal majority in your jurisdiction) to use our services. By using our services, you represent that you meet this requirement.

3. Accounts

You are responsible for:

• Providing accurate registration information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose
• Attempt to gain unauthorised access to our systems or other users' accounts
• Distribute malware, conduct denial-of-service attacks, or send unsolicited bulk communications
• Reverse engineer, decompile, or attempt to extract source code (except where permitted by law)
• Use the services to host or distribute infringing, defamatory, or otherwise unlawful content
• Resell or sublicense our services without our written permission

5. Payment Terms

For paid services:

• Charges are billed in advance on a subscription basis where applicable
• Prices are listed exclusive of applicable taxes unless stated otherwise
• We reserve the right to change pricing with reasonable notice
• Refunds are at our discretion and as required by applicable consumer protection law (including, where applicable, the UK Consumer Contracts Regulations 2013)

6. Intellectual Property

All content, trademarks, and software provided as part of our services remain the property of 1code x Ltd or our licensors. You retain ownership of content you upload, and you grant us a limited licence to host and process such content as necessary to operate the services.

7. Disclaimers

Our services are provided "as is" and "as available." During development and beta stages, services may experience interruptions, changes, or data loss. We make no warranties, express or implied, regarding fitness for a particular purpose, except as required by applicable law. Nothing in these Terms limits any rights you have as a consumer that cannot be excluded under English law.

8. Limitation of Liability

To the maximum extent permitted by law, 1code x Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Indemnification

You agree to indemnify 1code x Ltd against claims arising from your violation of these Terms or your misuse of the services.

10. Termination

You may terminate your account at any time. We may suspend or terminate access for violations of these Terms or for any reason with reasonable notice.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via email or service notification.
